Adrian C. Ribovich

Prior to joining BMD, Adrian spent seven years practicing with a private law firm in Toledo, Ohio, with a focus on business transactions and tax.

Adrian has experience in general business and tax planning matters. He has focused his practice on general corporate law governance issues, asset and stock purchase agreements, commercial real estate purchases and sales, commercial lease negotiations, and commercial loan workouts.

Adrian has extensive experience in preparing tax returns each year for ‘C’ Corporations, ‘S’ Corporations, partnerships, estates, non-profit corporations and individuals and has represented clients in IRS audits and collection appeals as well as before the United States Tax Court and the United States District Court. He also has experience in Ohio Sales and Use Tax audits and has successfully negotiated refund claims and exemptions cases before the Ohio Board of Tax Appeals. Finally, he has experience in forming non-profit organizations in the State of Ohio and applying for income tax exemption with the Internal Revenue Service.

In conjunction with the above engagements, he has also helped clients apply for new liquor permits and has successfully transferred numerous liquor licenses. His practice also involves general contract drafting and the review of employment agreements, consulting and independent contractor engagements, licensing and product development agreements, and supply and dealer engagements.
